That's a understatement, man. Sure it has new CG and scenes, but it's more like change of most details. For example, animation is much more smoother and full of motions.

Neither. It's something similiar, yet new. It starts out pretty much the same, but will become increasily original as it goes on.
The next film will have three new Evas, and lilith has been revealed early, and as LILITH not adam, Kawrou has even appeared before Asuka.

... what are you talking about? Evangelion is a JAPANESE cartoon, meaning it has always ORIGINALLY been in Japanese, now with rebuild is no exception.
I'll point something out however, the English VA for Asuka is superior compared to her Japanese counterpart as she can actually speak German FLUENTLY, while the Japanese VA, whenever she speaks in the language, it's little more than Gibberish and always exact in it's meaning.

Rebuild has original content, new scenes, new characters, and story details, in fact the story is going to get more and more original as time goes on, right now Kawrou has appeared before Asuka, for some reason the Angel order has gone up one with Angel #3,4, and 5 becoming #4, 5, and 6 respectivly, finally Lilith has already been revealed and as LILITH, not Adam (Keep in mind the movie roughly covers the events of episodes 1-6, Lilith was first revealed in 15 during the series).

I think they do fit, the only 'disaster' was EoE where some of the VAs were replaced and lines errounsly translated (not to mention it included a misleading commentary).
Heck, I'll take the fact Shinji was voiced by an actual guy any day, in his early 30s or what have you, and once again, I prefer Asuka's english VA because the German was accurate and far more expressive.
